Terms of Use

By accessing or using the platform, website, services, or any products offered by Global Centers for Entrepreneurship B.V. ("GCE", "we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must immediately cease use of our services.

These Terms apply to all users, visitors, clients, partners, licensees, and any other individuals or entities accessing our platform or services. GCE reserves the right to update or modify these Terms at any time, effective immediately upon posting. Your continued use of our services constitutes acceptance of any amended Terms.

To use certain features of our platform you must register for an account. You confirm that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction.
• You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
• All registration information you submit is accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You are solely responsible for maintaining the confidentiality of your account credentials.

GCE reserves the right to refuse registration, cancel accounts, or remove content at its sole discretion.

GCE provides the following services:

• AI-Driven Dealmaking Platform: Matchmaking, introductions, and deal facilitation between businesses, investors, and strategic partners.
• Global Ecosystem Access: Access to a curated network of 8,400+ professionals, investors, and companies across multiple industries and geographies.
• Local Centers: Physical and virtual entrepreneurship centers providing resources, events, mentorship, and community support.
• Dealmaking Engine: Proprietary AI tools for identifying high-value business opportunities and strategic connections.

All services are provided subject to these Terms and any applicable service agreements. GCE reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform to transmit any unsolicited commercial communications or spam.
• Impersonate any person or entity or falsely represent your affiliation with any person or entity.
• Upload or transmit any content that is unlawful, harmful, defamatory, obscene, or infringes any third-party rights.
• Attempt to gain unauthorized access to any part of the platform or its related systems.
• Use automated tools, bots, or scrapers to extract data from the platform without written consent.
• Engage in any activity that disrupts, damages, or impairs the proper functioning of the platform.
• Use the platform to facilitate illegal transactions, money laundering, or fraudulent activity.
• Circumvent, disable, or otherwise interfere with security-related features of the platform.

GCE reserves the right to investigate and take appropriate legal action against any user who violates these provisions.

All content, features, and functionality available on or through our platform, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the compilation thereof, are the exclusive property of GCE or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your personal or internal business purposes in accordance with these Terms. This licence does not include:

• Any resale or commercial use of the platform or its contents.
• Any collection and use of product listings, descriptions, or prices.
• Any derivative use of the platform or its contents.
• Any downloading or copying of account information for the benefit of another merchant.

Any unauthorised use automatically terminates the licence granted herein.

Certain services offered by GCE are subject to fees as set out in the applicable service agreement or pricing page. By subscribing to or purchasing any paid service, you agree to:

• Pay all applicable fees in the currency specified at the time of purchase.
• Provide accurate and complete billing information.
• Authorise GCE to charge your designated payment method for all applicable fees.

All fees are exclusive of applicable taxes unless otherwise stated. GCE reserves the right to change its fees at any time, with changes taking effect at the start of the next billing cycle. Payments are non-refundable unless otherwise specified or required by applicable law.

In the event of failed payment, GCE may suspend or terminate your access to paid services until outstanding amounts are settled.

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.

GCE is committed to protecting your personal data and complying with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

The platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

GCE does not warrant that:

• The platform will be uninterrupted, timely, secure, or error-free.
• The results obtained from the use of the platform will be accurate or reliable.
• The quality of any services, information, or other material obtained through the platform will meet your expectations.

To the fullest extent permitted by applicable law, GCE and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the platform or services.
• Any conduct or content of any third party on the platform.
• Any content obtained from the platform.
• Unauthorised access, use, or alteration of your transmissions or content.

In no event shall GCE's aggregate liability exceed the total amounts paid by you to GCE in the three (3) months preceding the claim.

GCE may terminate or suspend your account and access to the platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the platform ceases immediately. All provisions of these Terms that by their nature should survive termination shall do so, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may also terminate your account at any time by contacting us. Termination does not relieve you of any payment obligations accrued prior to the date of termination.

These Terms are governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Amsterdam, The Netherlands, for the resolution of any disputes arising out of or relating to these Terms or your use of the platform.

GCE reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our platform with the effective date clearly indicated. It is your responsibility to review these Terms periodically. Your continued use of the platform after any changes constitutes your acceptance of the new Terms.
